Article 1 - Definitions
In these terms and conditions, the following definitions apply:
- Terms and Conditions: The provisions set out in this document that apply to the agreement between the entrepreneur and the consumer.
- Cooling-Off Period: The period within which the consumer can exercise their right of withdrawal.
- Fee: The difference between the purchase price of the entrepreneur from the supplier and the (sales) price offered on the entrepreneur’s website.
- Service: The activities provided by the entrepreneur based on the agreement with the consumer, primarily consisting of offering and maintaining the website and concluding an agreement with the supplier on behalf of the consumer.
- Consumer: A natural person who is not acting in the course of a trade, business, or profession and enters into an agreement with the entrepreneur.
- Day: A calendar day.
- Durable Medium: Any means that allows the consumer or entrepreneur to store information in a way that enables future reference and unchanged reproduction of the stored information.
- Goods: Products offered to the consumer via the entrepreneur’s website by the supplier.
- Right of Withdrawal: The consumer’s option to terminate the agreement within the cooling-off period without providing a reason, within 14 days from the day after receipt of the goods.
- Supplier: A third party not affiliated with the entrepreneur with whom the consumer enters into an agreement through the website for the delivery of specific goods.
- Model Withdrawal Form: The withdrawal form provided by the entrepreneur that the consumer can fill out when exercising their right of withdrawal.
- Entrepreneur: The natural or legal person who offers products and/or services remotely to consumers.
- Agreement: The contract concluded between the consumer and the supplier via the entrepreneur’s website.
- Price: The price charged by the supplier to the consumer when concluding an agreement, including taxes unless otherwise stated.
- Commitment: The agreement between the consumer and the entrepreneur for the use of the website and services.
- Website: www.videsso.com an online marketplace where the supplier's goods are offered, marketed, and sold to the consumer, enabling the consumer to enter into a remote agreement with the supplier.

Article 3 - Applicability
- These terms and conditions apply to every commitment between the entrepreneur and the consumer, as well as the agreement between the consumer and the supplier.
- The text of these terms and conditions is made available electronically to the consumer in such a way that they can be easily stored on a durable medium. If electronic access is not possible, the consumer will be informed of where to access these terms before concluding an agreement, and they will be sent upon request at no cost.
- If the supplier’s specific product or service terms apply in addition to these terms, the consumer may always invoke the provision most favorable to them in case of conflicting terms.
- If one or more provisions in these terms are found to be invalid or voidable at any time, the remaining provisions will continue to apply, and the parties will replace the invalid provision with one that aligns with its original intent as closely as possible.
- Any situations not covered by these terms must be assessed in accordance with the spirit of these terms.
- Any ambiguities regarding the interpretation of these terms must be interpreted in accordance with their intended purpose.
Article 4 - Supplier’s Offer
- The goods offered on the website are exclusively supplied by selected suppliers. If an offer has a limited validity period or specific conditions, this must be clearly stated by the supplier.
- The offer is non-binding. The entrepreneur reserves the right to modify or adjust the supplier’s offer.
- Any stated delivery times are estimates. The entrepreneur does not guarantee that the supplier will meet these times.
- The entrepreneur does not guarantee that the supplier’s offer includes a complete and accurate description of the goods. Obvious errors do not bind the entrepreneur.
- Product images are indicative and may not perfectly reflect the actual colors of the products.
- Every offer contains sufficient information for the consumer to understand the rights and obligations associated with acceptance, including:
- The total price, including taxes
- Any additional shipping costs
- The process for concluding the agreement
- The right of withdrawal
- Payment, delivery, and performance conditions
- The duration and cancellation terms of the agreement
- Access to applicable codes of conduct
Article 5 - Commitment and Obligations of the Entrepreneur
- A commitment is automatically established when the consumer confirms their use of the services and enters into an agreement with the supplier.
- The entrepreneur’s obligations are limited to providing the services. The entrepreneur does not supply or deliver the goods.
- Upon forming an agreement, the entrepreneur will confirm this electronically.
- The entrepreneur implements appropriate security measures for electronic data transmission.
- Payments must be made electronically by the consumer.
- The entrepreneur will provide the following information in an accessible way:
- Business address for complaints
- Terms for exercising the right of withdrawal
- Information about warranties and post-purchase services
- Essential order details unless already provided
- Every agreement is subject to the availability of the products.
Article 6 - Right of Withdrawal
- The consumer may cancel a purchase within 14 days after receiving the goods.
- The consumer may address withdrawal requests directly to the supplier, with the entrepreneur facilitating communication if necessary.
- During the cooling-off period, the consumer must handle the goods carefully and return them in their original state and packaging.
- The consumer must notify either the supplier or the entrepreneur of withdrawal within 14 days using the model withdrawal form. The goods must be returned within the next 14 days.
Article 7 - Return Costs
- The consumer bears the cost of returning goods.
- If the consumer has already made a payment, the supplier or entrepreneur must refund the amount within 14 days after withdrawal.
Article 8 - Exclusion of Withdrawal Right
The right of withdrawal may be excluded for:
- Perishable goods
- Custom-made or personalized goods
- Sealed hygiene-sensitive items if the seal is broken
Article 9 - Price and Fee
- Prices remain unchanged during the offer period unless subject to tax changes.
- Prices include GST/HST unless stated otherwise.
- The entrepreneur is entitled to a fee for facilitating transactions.
Article 10 - Warranty
- The supplier guarantees that goods meet the agreement and legal requirements.
- The supplier’s warranty does not affect the consumer’s statutory rights.
- Complaints must be reported within four weeks of delivery.
- Warranty exclusions apply to misuse or modifications made by the consumer.
Article 11 - Delivery and Execution
- The supplier handles product delivery.
- The consumer must provide accurate shipping details.
- If an order cannot be fulfilled within 30 days, the consumer may cancel for a refund.
Article 12 - Payment
- Payment must be completed within 7 business days unless otherwise agreed.
- Incorrect payment details must be reported immediately.
Article 13 - Complaints
- Complaints must be submitted within 7 days.
- The entrepreneur will respond within 14 days.
- If a complaint is justified, goods may be replaced or refunded.
Article 14 - Disputes
- These terms are governed by Canadian law.
- Disputes will be settled under Canadian jurisdiction.
